Studio Scholars Program Terms of Service

The following terms and conditions (“Terms”) apply to all Studio Scholars who participate in the Studio Scholars program (“Program”). These Terms are entered into by and between you (“Studio Scholar”, “you”) and Academic Writers Studio, Inc. (“we”, “us”), owner of AcademicWriters.Studio website (“Website”) and administrator of the Academic Writers Studio Slack workspace (“Platform”). You must agree to these Terms in order to participate in the Program. We may revise and update these Terms in whole or in part, from time to time in our sole discretion.
Account Security and Interactive Platform. The Program is primarily run on a third-party Platform called Slack. Upon enrollment in the Program, you will be able to set up an account and password that will allow you to access the Program on our Slack workspace. Your account and password give you access to all aspects of the Program including content on the Website accessible to Studio Scholars and other membership levels. Please see Slack’s terms and conditions as they will pertain to your participation in our instructional services as part of the Program. You are solely responsible for the maintenance and security of your own account and password information. Please treat such information as confidential, and do not disclose it to any other person or entity. Please notify us of any unauthorized access to or use of your user name or password or any other breach of security. You must provide us information that is correct, current and complete. Any information you provide to register for the Program or otherwise, including but not limited to through the use of any interactive features of the Program, is governed by our Privacy Policy and you consent to all actions we take with respect to your information consistent with our Privacy Policy. We may disable your account or discontinue your participation in the Program if you have violated any provision of these Terms or have violated any other standard of behavior or policy.
Third-Party Providers. In addition to Slack as our interactive platform for the Program, we may use other Third-Party Providers to facilitate Program activities and administration. We have no control over the contents of Third-Party Providers’ websites, or any other third-party site and accept no responsibility for them or for any loss or damage that may arise from your use of them. Third-Party Providers may collect personal information such as name, address and payment method, as well as IP address and other information about your device or browser. This data may be collected at the time of purchase, or when you set up an account or a payment method, and is stored on their systems, not ours. By submitting a payment, signing up for an account, or enrolling in the Program, you hereby consent to the use of your personal and non-personal information by our Third-Party Providers in accordance with their terms and conditions and privacy policies. We may use Stripe or PayPal, at our discretion, to process any payments including the Program Fee, defined below. Stripe’s terms and conditions and their privacy policy can be found on https://stripe.com/us/legal. PayPal’s terms and conditions and their privacy policy can be found on https://www.paypal.com/us/webapps/mpp/ua/useragreement-full. Please read these policies so you can understand the manner in which your personal information will be handled by them; once you leave our website, our Privacy Policy does not apply to your personal information.
Website. As part of the Program, you will have access to exclusive content on our Website. Please see our Terms of Use for using and accessing the Website as those terms will apply to your use of the Website.
Academic Writer’s Studio Intellectual Property Rights. All of the material and contents that you have access to during the Program or on the Website, including our name, logo, and service names, slogans, features and functionality (“Marks”) are owned by us, our licensors or other providers of such material and are protected by U.S. copyright, trademark, and other intellectual property or proprietary rights laws. No rights are granted to you herein with regard to the Marks.
Scholar Submissions. You own all rights to any information you submit to us, whether on Slack or another platform at our discretion, for purposes of participating in the Program (“Scholar Submissions”). Scholar Submissions include (but are not limited to) research and research topics, excerpts from publications, drafts, comments, questions, messages, communications, emails, posts, recordings (video, voice, or other), conversations, images, and other content you send to us during the Program.
You represent that your Scholar Submissions are original, do not and will not infringe the rights of any third parties, including copyright, trademark and other intellectual property rights and rights of publicity. You grant us and our assigns a non-exclusive, non-sublicensable, irrevocable and perpetual license to use the Scholar Submissions for Program assessment and evaluation, development of further Program instruction, marketing and research. Further, you understand that your Scholar Submissions may be shared with and viewed by other Scholars as part of your participation in the Program.
If we desire to use specific Scholar Submissions in a manner other than expressly permitted herein, we will seek individual Scholar consent.
Permitted Uses. You may not reproduce, distribute, modify, create derivative works of, publicly display, print, publicly perform, republish, download, store or transmit any of the material you have access to during the Program, including but not limited to submitted by participants in the Program. Any use of those materials not expressly permitted by these Terms is a breach of these Terms and we reserve the right to revoke access to or use of the Website or your participation in the Program. All rights not expressly granted are reserved by us. Notwithstanding the foregoing, nothing in this Terms shall prohibit or limit the use of your own Scholar Submissions.
Monitoring and Enforcement; Termination. We reserve the right to remove or refuse to accept any Scholar for any or no reason in our sole discretion; including violation of these Terms, our Code of Conduct (found here), and our Privacy Policy (found here). Further we may take any action with respect to any Scholar Submission that we deem necessary or appropriate in our sole discretion, including if we believe that such submission violates these Terms, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of other Scholars, the public, or could create liability for us. We reserve the right to disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy; take legal action for any illegal or unauthorized use of the Slack platform or website; and terminate or suspend your access to and use of the Website or participation in the Program.
Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials to us. YOU WAIVE AND HOLD US HARMLESS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY US DURING OR AS A RESULT OF OUR INVESTIGATIONS AND FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY US OR LAW ENFORCEMENT AUTHORITIES.
Copyright Infringement. If you believe that any Scholar Submissions or other materials in the Program violate your copyright, please see our Copyright Policy for instructions on sending us a notice of copyright infringement. It is our policy to terminate the accounts of infringers and remove access immediately.
Disclaimer. The information presented on or through the Program is made available solely for informational and instructional purposes. We do not warrant the accuracy, completeness, or usefulness of this information nor do we warrant or guaranty that use of the Program will result in any outcome whatsoever, including but not limited to completion or publication of research; tenure or promotion; or other professional recognition.
Participation in the Program does not guarantee you a specific number of hours from our staff or resources, nor does it guaranty that services will be performed on a specific timetable. Completion of an editing or other project on a specific timeline is neither guaranteed nor included in our Program. Any reliance you place on the information provided is strictly at your own risk and we disclaim all liability and responsibility arising from any reliance placed on our Program, services, or-related information or activity. Any statements or opinions provided by other Scholars or third parties are solely the responsibility of the person or entity providing those materials.
Information About You and Your Visits to the Website. All information we collect from you when you are a Scholar is subject to our Privacy Policy. By participating in the Program, you consent to all actions taken by us with respect to your information in compliance with the Privacy Policy.
Program Fee. Scholars will be charged a Program Fee upon acceptance to the Program. The Program Fee must be paid in full at least fourteen (14) days before the start of the Program, regardless of whether you are a new or returning Scholar. Cancellation Policy. You may receive a full refund of your payment if you notify us at s[email protected] within forty-eight (48) hours of the payment. If you notify us after forty-eight (48) hours but within seven (7) days of payment, you will receive a full refund minus a $35 processing fee. All other refunds will be processed as follows: time of payment up to 14 days prior to the start date of the Program: 85% refund of Program Fee; 14 days prior to the start date of the Program up to 14 days after start of Program: 50% refund of Program Fee.
Indemnification. You agree to defend, indemnify and hold harmless us, our affiliates, licensors and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your participation in the Program.
Governing Law and Jurisdiction. All matters relating to the Website and these Terms shall be governed by and construed in accordance with the internal laws of the Commonwealth of Virginia, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action or proceeding arising out of, or related to, these Terms or the Website shall be instituted exclusively in the federal or state courts of the United States in the Commonwealth of Virginia, in the City of Richmond. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
Miscellaneous:
Waiver and Severability. No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of us to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms of Use will continue in full force and effect.
